Independent Board Director - Finance & Audit
About this position
NDB Inc. is seeking an experienced Independent Board Director to chair our Audit Committee and provide financial oversight. You will bring deep expertise in corporate finance, accounting, and audit to ensure strong financial controls, accurate reporting, and sound fiscal management as we scale operations and prepare for potential IPO. This unpaid position offers equity compensation and the opportunity to guide the financial governance of a revolutionary technology company.
Requirements
- CPA, CFA, or equivalent professional certification required
- Former CFO, CAO, or senior finance executive of public company ($500M+ revenue)
- 20+ years of progressive finance and accounting experience
- Audit Committee Chair experience at public company strongly preferred
- Deep understanding of SEC reporting, SOX compliance, and GAAP/IFRS
- Experience with IPO preparation and public company financial governance
- Strong understanding of financial controls, risk management, and internal audit
- Big 4 accounting firm background or similar high-caliber experience
Responsibilities
- Chair the Audit Committee with quarterly meetings
- Oversee financial reporting, internal controls, and audit processes
- Review and approve annual budgets, financial plans, and capital allocation
- Ensure compliance with accounting standards and regulatory requirements
- Oversee relationships with external auditors and manage audit process
- Assess financial risks and ensure appropriate risk management frameworks
- Guide IPO preparation including SOX compliance and SEC readiness
- Review major financial transactions, contracts, and investments
Preferred Qualifications
- Current Audit Committee Chair of public company
- Former Big 4 audit partner or senior audit executive
- Deep-tech or manufacturing industry financial expertise
- Experience with government contracts and R&D accounting
- International financial reporting and tax expertise
